These Terms and Conditions (“Terms”) apply to the booking of Two Wheelers Manufactured by TVS Motor Company Limited (“Vehicle”) listed on the Book Online section and form a legally binding agreement under the Information Technology Act, 2000, as amended, between You and Sabharwal Automotives LLP, a company registered under the Limited Liability Partnership Rules, 2009 and having its registered offices at 4, Inder Enclave, Main Rohtak Road, New Delhi 110087 India, hereinafter referred to as “Sabharwal TVS”

For the purpose of these Terms, wherever the context so requires “You/Your” shallmean any person who has agreed to place the Booking of any Vehicle through thiswebsite. The term “We/Us/Our” shall mean Sabharwal TVS.

A. Booking

By placing a booking with us, you express your intention to purchase the vehicle specified by you (“Vehicle”) and agree to be bound by these Terms. Your purchase of the Vehicle and delivery by us will be subject to your compliance with the Terms hereunder and other applicable laws, regulations and guidelines. Booking is subject to availability of the chosen vehicle at dealership.

B. Booking and Full Payment Amounts1. The booking Amount of Rs 5,000 shall be paid by you through the link provided on this Site. This shall be a non-interest bearing and will confirm your booking. The same shall be construed as an offer from your end and shall be adjusted against payment of the final Vehicle price by you. Upon the receipt of the amount in the Bank Account of Sabharwal TVS, we shall communicate the acceptance of the Booking, however, The acceptance of the Booking does not be construed as completion of the sale of the Vehicle as it is subject to the payment of balance amount, documentation requirements and terms and conditions. 2. You will receive a payment confirmation for booking via SMS/email. You can also share your transaction ID with us to know the status of the booking payment. You will be contacted by us to complete the invoicing process.3. We shall notify you where the balance payment of Sale consideration has to be made and the timeline for the balance payment for the Vehicle is due. You may visit the place of dealership to ascertain the documentary formalities.4. Failure to make the balance payment in time may result in a delay in delivery of the Vehicle and / or may result in cancellation of the Booking.5. C. Price of the Vehicle1. The Price displayed on the vehicle displayed, if any, on the website of Sabharwal TVS is only the ex-showroom price of the vehicle. The On-Road price is subject to road tax, Insurance, accessories charges etc., The final Vehicle price is the prevailing price as applicable on the date of intimation regarding final Vehicle payment. The balance sale price (i.e. balance sale consideration) shall be paid to us before expecting delivery of the Vehicle.2. Ex-showroom price is indicative and may vary at the time of purchase. Ex-showroom price is inclusive of taxes. Additional accessories will need to be purchased at the dealership. On-road price includes Insurance Charges, Registration Charges, Mandatory Accessories Charge & Incidental Charges, if any. This has to be paid at the dealership. You may request for receipts for the same from the dealership.3. Sabharwal TVS shall not be responsible for any non-receipt of the Booking Amount to the Bank Account of Sabharwal TVS due to technical or other reasons in the payment gateway or banking network issues.

D. Finance1. If you wish to avail any of the financing options for the purchase of the vehicle that may be availed through the financers available at our dealership outlets and / or you can make your own arrangements for the same. 2. Once you apply for finance, from that point, you will be governed by the T&C’s of the financier. Please refer to the T&C’s of the financier before proceeding.3. All information collected are as per the requirements of the financier.4. All documents and information will be passed on to the financier and will not be stored by Sabharwal TVS. 5. In the event you avail the Finance services for purchase of your Vehicle, you acknowledge and agree that Sabharwal TVS shall have no obligation to enter into any agreement with any such financer. Sabharwal TVS shall not be held responsible for any actions by the financier.

E. Registration & Insurance of the Vehicle1. On purchase of the Vehicle and once the Vehicle is ready for delivery after balance payment of Sale consideration by you, we shall assist you with the Registration formalities. The registration charges, insurance charges, Mandatory Accessory Charge and Incidental Charges are not included in the Sale price. You may ascertain the On-road charges from our dealership outlets.2. You acknowledge that the grant or denial of the Vehicle registration is at the sole discretion of the competent authority and you shall have no claims against us in the event the registration of the vehicle purchased by you is denied for any reason.

F. Delivery Schedule

We will communicate the estimated delivery period for your booked Vehicleand will make all commercially reasonable efforts to deliver your booked Vehicle within the specified delivery period by us. Any change or delay in the delivery period will be notified to you by us. We will not be liable for any claims, damages, losses, costs or expenses incurred/suffered by you due to delay in delivery of the Vehicle by us. However, in the event of any delays, you may cancel and claim a refund of your Pre-Order Amount in accordance with these Terms.

G. Cancellation/Refund1. Refunds on booking amounts will be made within 30 days from the date of cancellation.2. This amount is refundable till the point of making the full payment for purchasing the Vehicle.3. Please note that once the full payment for the vehicle, including the accessories, has been made and the Vehicle documents has been processed for registration in your name, the sale shall be deemed as complete, and cancellation or claim for any refund amount will not be possible.

H. Assignment or Transfer

You acknowledge and agree that your booking is for delivery of Vehicle only to you and you may not transfer or assign rights granted to you under these Terms to any third party.

I. Warranty1. TVS-M Vehicle comes with the standard Manufacturer’s Warranty. Kindly refer to the Warranty Terms & Conditions printed on the owner’s manual. Sabharwal TVS shall not be held responsible for any claims under the Warranty.2. On expiry of the Warranty period, all services shall be chargeable at such rates as may be communicated by the manufacturer from time to time. Sabharwal TVS shall not be held responsible for any shortcoming or problems that may arise due to not availing services from an authorised dealership / service outlet of the manufacturer as per the schedule provided by the manufacturer in the owner’s manual.

J. Owner’s / User Manual1. Owner’s / User Manual is available on TVSM’s Website (WWW.TVSMOTOR.COM), detailing the parts, technology and functionality of the Vehicle. 2. The Owner’s / User Manual shall also details the manner in which the Vehicle is required to be used by the customer. The customer shall be required to read and understand the Owner’s / User Manual completely and use the Vehicle in accordance with the instructions provided in the Owner’s / User Manual. 3. The Owner’s / User Manual may be updated from time to time to reflect any changes to the features and functionalities of the Vehicle and you agree to comply with the stipulations and requirements of such updated Owner’s / User Manual.

K. Collection of Information

We may require certain information and documents from you for processing your booking, complying with statutory requirements, and/or conducting a site inspection for installation of the Vehicle charging station. You represent and warrant that all such information and documents will be true, complete and accurate. You will promptly notify us of any change in the information provided to allow us to update our records. All collection, storage, use and disclosure of any information provided by you will be in accordance with Our Privacy Policy available at our Website.

L. Territory

The Vehicle is available for booking or sale in NCT of Delhi & NCR. You may not place a Booking for delivery of the Vehicle outside these territories.

M. Limitation of Liability

We will not be liable for any indirect, special, incidental or consequential damages arising out of or in connection with these Terms. Your sole and exclusive remedy and Our aggregate and cumulative liability for any material breach under these Terms will be limited to refund of the Booking Amount in the amount of valid cancellation.

N. Disclaimer

The Vehicle will in all material aspects be similar to the Two Wheelerpresented or advertised in marketing or promotional campaigns. However, in view of our endeavors to continuously innovate and improve Our products, We reserve the right to modify or alter the specifications, features and/or design of the Vehicle without prior notice and any liability.

O. Customer Responsibility1. You must not purchase or use the Vehicle if you are not over the legal age to use the vehicle. You must not purchase any vehicle on behalf of another person who is not above the legal age to use the vehicle.2. You understand that you are responsible for damage to the vehicle and charging points caused by your actions. In relation to the vehicle, you understand the nature of riding a vehicle and related activities and acknowledge that you are qualified to operate the Vehicle and are in proper condition to participate in such activity. You agree to assume all risks when allowing others to operate the vehicle. If you are not familiarwith the nature of riding a vehicle, you should seek professional training before operating a Vehicle.3. In the event you choose to transfer ownership or use of the vehicle purchased by you to a third person, you must inform Sabharwal TVS of such intent, to enable Sabharwal TVS to delete your user profile and replace it with the user profile of the transferee. In the event you permit any other individual to use the Vehicle without informing Sabharwal TVS, the information of the user will be captured and recorded by us as if it was your information and you indemnify us against any claims made by the user against Sabharwal TVS in relation to the collection and / or use of such information in accordance with these terms. P. Miscellaneous 1. We will not be responsible for any delay or failure to perform our obligations under these Terms, where such delay or failure is due to any reasons beyond Our reasonable control.2. In the event any of these Terms is held invalid or unenforceable, the legality and enforceability of remaining provisions will not be affected or impaired thereby. These terms shall be governed by laws prevailing in India and in the event of any dispute between Sabharwal TVS and you, the parties will endeavour to resolve the dispute through mutual discussions. In the event the parties fail to resolve the dispute through mutual discussions within a period of 60 days, the court in Delhi, India shall have the exclusive jurisdiction to resolve the dispute between the parties.
